Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Providential AI ("Company," "we," "us," or "our") governing your access to and use of the Providential AI platform, website, and related services (collectively, the "Service").

By creating an account, accessing the Service, or clicking "I agree," you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

Providential AI is a multi-tenant software platform designed for licensed real estate professionals ("Agents"). The Service enables Agents to:

• Receive and manage inbound real estate leads from multiple sources
• Deploy an AI-powered agent to qualify leads via SMS and messaging platforms
• Automate showing scheduling and calendar management
• Record and manage voicemails from prospective leads
• Track lead qualification data and conversation history

The Service uses artificial intelligence to generate and send messages on behalf of Agents. All AI-generated communications are sent under the Agent's account and in their name.

You must be at least 18 years of age and legally permitted to enter into binding contracts in your jurisdiction. By using the Service, you represent that you meet these requirements.

The Service is intended for use by licensed real estate professionals and related industry participants. You represent that your use of the Service complies with all applicable real estate licensing laws and regulations in your jurisdiction.

To use the Service you must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@providentialai.com if you suspect unauthorized access to your account.

You may not share your account, transfer it to another person, or create multiple accounts for the same individual.

The Service is offered under the following plan structure:

• Free Trial: Access to core features with a shared SMS number. Certain features, including voicemail, are restricted to paid subscribers.
• Pro Plan: Full access to all features, including a dedicated Twilio phone number, voicemail, and priority support, billed at $20 per month.

Billing is processed through Stripe. By subscribing to the Pro Plan, you authorize us to charge your payment method on a recurring monthly basis until you cancel. Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.

All fees are non-refundable except as required by applicable law or at our sole discretion. We reserve the right to change pricing upon 30 days' written notice.

The Service uses AI to compose and send text messages, schedule appointments, and engage with your leads on your behalf. You acknowledge and agree that:

• You are solely responsible for all communications sent through the Service under your account, including AI-generated messages.
• You must comply with all applicable laws governing electronic communications, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any applicable state laws.
• You are responsible for obtaining any required consent from leads prior to initiating SMS communications through the Service.
• AI-generated messages may occasionally contain errors, inaccuracies, or responses that do not reflect your intentions. You are responsible for monitoring conversations and intervening when appropriate.
• You must not use the Service to send spam, unsolicited messages, or communications that violate applicable law.

You may import leads from third-party platforms (including Zillow, Realtor.com, Redfin, and others) through the Service. You represent that you have the right to process and contact these leads in accordance with the terms of those platforms and applicable law.

We are not responsible for the accuracy, completeness, or legality of lead data you import or enter into the Service.

The Service integrates with third-party services including Twilio (SMS and voice), Google (Calendar and OAuth), Telegram, Stripe (payments), and others. Your use of these integrations is subject to the respective terms of service of those providers. We are not responsible for the availability, accuracy, or conduct of third-party services.

Twilio phone numbers provisioned through the Service are subject to Twilio's Acceptable Use Policy. We reserve the right to terminate your number if it is used in violation of Twilio's or our policies.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Send unsolicited communications or spam
• Harass, threaten, or deceive any person
• Impersonate any person or entity
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to any system or account
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or sublicense access to the Service without our written consent
• Engage in any activity that disrupts or impairs the Service

We reserve the right to suspend or terminate your account immediately for any violation of this section without refund.

The Service, including all software, design, text, graphics, and other content, is owned by or licensed to Providential AI and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the term of your subscription.

You retain ownership of all data you input into the Service, including lead information and conversation content. You grant us a non-exclusive license to process this data solely to provide the Service to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT. YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF AND RELIANCE ON ANY AI-GENERATED COMMUNICATIONS OR RECOMMENDATIONS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROVIDENTIAL AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Providential AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any communications sent through your account.

You may cancel your account at any time through the Settings page or by contacting us. Cancellation takes effect at the end of your current billing period for paid plans.

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason at our sole discretion, with or without notice. Upon termination, your right to use the Service ceases immediately.

We may retain your data for a reasonable period following termination for legal and operational purposes, after which it will be deleted in accordance with our Privacy Policy.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice within the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
