1. Acceptance of Terms

By creating an account or using the Agentic Real Estate platform ("Service"), you ("Agent") agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service.

2. Description of Service

Agentic Real Estate is a web-based platform that helps licensed real estate professionals capture, qualify, and communicate with property leads using an AI assistant. Features include automated SMS and Telegram messaging, lead scoring, showing scheduling via Google Calendar, and a lead management dashboard.

3. Eligibility

You must be at least 18 years old and a licensed real estate professional (or authorized representative of a real estate brokerage) to use this Service. By registering, you represent that you meet these requirements.

4. Agent Accounts

You are responsible for:

  • Maintaining the confidentiality of your login credentials.

  • All activity that occurs under your account.

  • Ensuring that the information you provide (name, brokerage, license number) is accurate and kept up to date.

You must notify us immediately if you suspect unauthorized access to your account.

5. Lead Data and Communication Compliance

You are solely responsible for ensuring that all leads you communicate with via this platform have provided prior express written consent to receive automated messages, as required by the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any applicable state or local regulations.

By using the SMS and Telegram messaging features, you represent that:

  • Each lead has opted in to receive communications from you or your brokerage.

  • You have a legitimate, lawful basis for contacting each lead.

  • You will honor opt-out requests promptly and instruct the AI agent accordingly.

We are not liable for any regulatory fines, carrier filtering, or legal claims arising from non-compliant messaging.

6. AI-Generated Content

The platform uses third-party AI services to generate messages on your behalf. You acknowledge that:

  • AI-generated content may not always be accurate, appropriate, or complete.

  • You are responsible for reviewing your AI agent's settings and behavior.

  • We do not guarantee any particular outcome from AI-assisted lead qualification or communication.

  • You should not rely on AI-generated content as legal, financial, or professional advice.

7. Third-Party Services

The Service integrates with third-party providers including Twilio (SMS), Telegram, Google Calendar, and OpenRouter (AI). Your use of these integrations is also subject to their respective terms and policies. We are not responsible for the availability, accuracy, or actions of third-party services.

8. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited, deceptive, or harassing messages.

  • Violate any federal, state, or local law, including real estate fair housing laws.

  • Impersonate another person or entity.

  • Scrape, reverse-engineer, or attempt to extract source code from the platform.

  • Transmit malware, spam, or any harmful content.

  • Use the Service for any purpose other than legitimate real estate lead management.

We reserve the right to suspend or terminate accounts that violate these restrictions.

9. Intellectual Property

All platform code, design, branding, and proprietary logic belong to Agentic Real Estate. You retain ownership of your own lead data and content. You grant us a limited license to process your data solely to operate and improve the Service.

You may not copy, resell, or redistribute any part of the platform without written permission.

10. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that:

  • The Service will be uninterrupted or error-free.

  • AI-generated messages will achieve any particular result.

  • Messages will be delivered by carriers (carrier filtering is outside our control).

11. Limitation of Liability

To the fullest extent permitted by law, Agentic Real Estate and its developers shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to lost revenue, lost leads, regulatory fines, or data loss.

Our total liability for any claim arising out of the use of the Service shall not exceed the amount you paid for the Service in the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Agentic Real Estate and its developers from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights or applicable law.

13. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason with reasonable notice. You may cancel your account at any time. Upon termination, your data will be retained for a limited period and then deleted, unless a longer retention period is required by law.

14. Modifications to Terms

We may update these Terms at any time. Updated terms will be posted with a revised effective date. Continued use of the Service after changes constitutes your acceptance of the new Terms.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of California.
